How to Form an LLC in Nevada

Name Your Company
The first step is naming your business in line with Nevada naming requirements. You need to make sure the name is available by doing a search on the Nevada Secretary of State’s website. Appoint a Registered Agent
Nevada requires LLCs to name a Registered agent within the state. A registered agent is a person or entity that is authorized to receive service of process and other official legal documents and notices on behalf of your company. While you can name yourself as a registered agent, you need to have a permanent address in Nevada and be able to accept service during normal business hours. Prepare and File Articles of Organization
This is one of the most important and most complicated steps in the process of forming an LLC. The Articles of Organization is the document that actually establishes your business and provides basic information about it. This is where you define your management structure and the principal officers. You need to file this document with the Secretary of State’s office in order to Register your LLC. Once you file your Articles, the secretary of state will review the filing. If they are approved, your LLC officially becomes a legal business entity.
Register with the State
The Secretary of State’s office will issue you a certificate that confirms the LLC officially exists and meets all initial requirements after the LLC’s formation documents are filed and approved. This certificate will allow the LLC to obtain an Employer Identification Number (EIN), business licenses, and a business bank account.

An Operating Agreement is not a legal requirement in Nevada, but it is an important foundation for your company, especially if there are multiple people involved.
