Forming an LLC in Nevada

If you’re considering starting a business in Nevada, an LLC is an excellent type of business structure. So what is an LLC? An LLC, or a Limited Liability Company, is a common and uncomplicated business structure that provides business owners legal protection by separating personal assets from business debts.

Forming an LLC in Nevada follows a relatively standard procedure similar to those in other states, so entrepreneurs should not have much difficulty in creating their business in Nevada. However, unlike in most states, an LLC’s initial annual report and state business license application are due along with its Articles of Organization. These documents along with the rest of the process can be complicated and intimidating for someone who just wants to get their business up and running without getting bogged down in paperwork. Even in the best of circumstances the process usually takes about a month, but can be much longer if there are mistakes in the filings. That’s where we can help.

Why Form an LLC?

LLCs are usually the preferred form of organization for small businesses and startups. In fact, Limited liability companies are by far the most popular form of business organization in the state. This is because LLCs, as the name suggests, limit the legal liability owners are exposed to when doing business under an LLC. Furthermore, LLCs are taxed as pass-through entities. That means they don’t pay corporate income taxes. This is just one of the many tax benefits an LLC can afford you. Click here to learn about the pros and cons of starting a business in Nevada!

Can I use an LLC as a form of Asset Protection?

LLCs can also be a powerful asset protection strategy for individuals with significant assets, owners of rental properties, or those in high-risk professions.  Professionals working in fields that are exposed to high-dollar malpractice lawsuits, like doctors or lawyers, can protect themselves and their families by operating under an LLC. In short, forming an LLC can protect your personal wealth from any business debts.

How to Form an LLC in Nevada

Forming an LLC in Nevada is a relatively straightforward process, although actually fulfilling these requirements on your own can be difficult.

  • Name Your Company

The first step is naming your business in line with Nevada naming requirements. You need to make sure the name is available by doing a search on the Nevada Secretary of State’s website. You should also check to make sure the corresponding domain name is also available. You can do this through websites like GoDaddy.

  • Appoint a Registered Agent

Nevada requires LLCs to name a Registered agent within the state. A registered agent is a person or entity that is authorized to receive service of process and other official legal documents and notices on behalf of your company. While you can name yourself as a registered agent, you need to have a permanent address in Nevada and be able to accept service during normal business hours. Raich Law can act as your registered agent if need be.

  • Prepare and File Articles of Organization

This is one of the most important and most complicated steps in the process of forming an LLC. The Articles of Organization is the document that actually establishes your business and provides basic information about it. This is where you define your management structure and the principal officers. You need to file this document with the Secretary of State’s office in order to Register your LLC. Once you file your Articles, the secretary of state will review the filing. If they are approved, your LLC officially becomes a legal business entity.

  • Register with the State

The Secretary of State’s office will issue you a certificate that confirms the LLC officially exists and meets all initial requirements after the LLC’s formation documents are filed and approved. This certificate will allow the LLC to obtain an Employer Identification Number (EIN), business licenses, and a business bank account.

  • Create Operating Agreement

An Operating Agreement is not a legal requirement in Nevada, but it is an important foundation for your company, especially if there are multiple people involved. An operating agreement sets out the purpose and structure of the company, as well as how it will be managed and how cost and profits will be shared amongst other important things. Having a well-thought-out operating agreement can save you from a lot of legal and financial headaches in the future.

  • Get an (EIN)

An Employer Identification Number, EIN, is assigned by the IRS to identify your business for tax purposes. You can obtain your EIN online through the IRS website. Obtaining an EIN is necessary as it allows you to open a bank account, hire employees, and file taxes.
